I recently saw your post about your opportunity to buy into a bar. I can't really add much to the good advice you have already received in your thread. However, I thought I would offer a slightly different perspective to your situation.

About 6 years ago I established a Thai Limited Company. I have the requisite number of Thai partners and for the past 5 years have been running my business here in Thailand with total control over company operations with no interference or involvement from any local partners whatsoever. Of course, the price of this autonomy has been the need to run the company absolutely 'by the book', paying all relevant government taxes and adhering rigidly to the laws governing the operation and administration of my company. This is a rather (understatement) more expensive way of running your business than if you opt for the "Thai way", whereby, through the connections of your Thai partner, you might manage to circumvent many of the standard costs and regulations required by Thai law. However, this, in my view is a price worth paying for control over your investment and for your general peace of mind.

Ziggy is absolutely right when he says that it is no longer possible to set up such an operation. However, because my company was established before the new government regulations came into force, it is not affected by these new stringent set-up conditions. My company has a registered capital of 2 million baht (1 work permit). All the Thai partners are 'sleeping' partners and have no connection with the company's business. Furthermore, all the Thai partners have signed 'share-transfer' agreements, which are in my possession and which I have only to 'date' in order to transfer the shares of any given partner to another Thai partner, in the event that the former causes any problems (has never happened in 5 years).

Why am I telling you this? Because I am about to put my company up for sale. The company registration permits you to operate pretty much any business you like. It is fully audited and has no debt and is entirely up-to-date with all government requirements. By purchasing my company, you will also avoid the excruciatingly labyrinthine (and expensive) process that setting up a company in Thailand entails. And you will have a structure that gives you completel control over your business and investments.

With this in place, you can then take your time in finding the right business, in the right location.

Why am I selling? My mother died recently and my dad is elderly and in poor health in the UK. Whilst I am not in a mad rush (I have a brother in the UK currently doing it all by himself), I do need to start freeing myself up. I have just sold my business (Juice Bars) and am now about to sell the company.

I hope this is useful. Let me know if you are interested to pursue this further. I wish you good luck with whatever you decide to do.

1) the police (thousands of Bahts a month)
2) Local Authorities (did not explained me more)
3) the whatever mafia exists
4) the guys who bring the drinks (she explained me that not all drinks are real and the effect that this may have if everyone knows it)
